Terms of Service

These Terms of Service ("Terms") govern your access to and use of gogylesson.com and the Gogy service (the "Platform"), operated by Gogy Lesson PBC, a Delaware public benefit corporation ("Gogy," "we," "our," or "us").

By accessing or using the Platform, or by clicking "I Agree," you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. Eligibility

Gogy is a professional tool for teachers and other adult educators. You must be at least 18 years of age (or the age of majority in your jurisdiction, if higher) to create an account or use the Platform. Students do not use the Platform.

By using the Platform, you represent and warrant that:

• You meet the age requirement above;
• You have the legal capacity to enter into a binding agreement;
• You are not barred from using the Platform under any applicable law; and
• If you are using Gogy on behalf of a school, district, or other organization, you have authority to bind that organization to these Terms.

The Platform is provided from the United States and is intended for use by educators in the United States. We do not offer or market the Platform outside the United States. If you access the Platform from outside the United States, you do so on your own initiative and are responsible for compliance with local law. We make no representation that the Platform is appropriate or available for use in your location.

2. Accounts and Sign-In

2.1 Account creation

To use the Platform you must create an account. You may register using Google or Microsoft Sign-In. You authorize us to access certain Google or Microsoft account information as described in our Privacy Policy.

2.2 Account responsibilities

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. Notify us immediately of any unauthorized access at [email protected]. You may not share, transfer, or sell your account.

Accounts are personal to one individual educator. You may not permit any other person to access the Platform through your account or credentials. Each educator using the Platform must have their own account.

2.3 Account accuracy

You agree to provide accurate, current, and complete information and to keep it updated. We may suspend or terminate accounts containing inaccurate or misleading information.

3. Use of the Platform

3.1 License to you

Subject to these Terms, we grant you, as an individual educator, a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your own instructional and educational purposes.

"Your own instructional purposes" means preparing lessons that you teach or co-teach, including lessons you contribute to a shared planning arrangement in which you and your colleagues teach substantially the same lessons.

Except as permitted in the preceding paragraph, the license does not cover generating lessons that you do not teach — including generating lessons for other educators to teach in their own classrooms, or planning across grades, subjects, or classrooms. If your work requires this, contact us.

3.2 Acceptable use

You agree to use the Platform only for lawful purposes. You must not:

• Violate any applicable law or regulation;
• Enter any student personal information, student education records, or other personal information about third parties into the Platform (Gogy is not designed to receive it, and you should never input it);
• Share your credentials or allow any other person to access the Platform through your account;
• Use the Platform to generate lessons for, or on behalf of, educators other than yourself, except as permitted under Section 3.1;
• Resell, license, or offer Gogy-generated lessons for consideration, or post them to any lesson marketplace or resource-sharing site;
• Circumvent or attempt to circumvent any usage limit, rate limit, or other technical restriction per Section 3.4;
• Send unsolicited or unauthorized advertising (spam);
• Impersonate any person or entity or misrepresent your affiliation;
• Upload or share content that is unlawful, harmful, defamatory, obscene, or otherwise objectionable;
• Interfere with or disrupt the Platform or its servers;
• Attempt to gain unauthorized access to any part of the Platform or its systems;
• Use automated means (bots, scrapers, crawlers) to access or collect data from the Platform without our prior written consent;
• Reverse engineer, decompile, or disassemble any part of the Platform;
• Use the Platform, its outputs, or any data derived from it to develop or train a competing product, service, or AI model.

3.3 Third-party services

The Platform integrates with third-party services (including Google, and the AI providers described in our AI Transparency document). Your use of those services is governed by their respective terms. We are not responsible for third-party services.

3.4 Fair use and service limits

The Platform is provisioned for individual educator use as described in Section 3.1. We apply reasonable limits on lesson generation and other activity to protect service quality and prevent abuse. These limits are set well above the volume a typical individual educator needs, and ordinary classroom planning will not reach them. We may adjust them from time to time.

If your usage substantially exceeds these limits, or if your usage pattern indicates account sharing or use on behalf of multiple educators or an organization, we may: (a) contact you to discuss your use; (b) ask you to move to an appropriate plan; (c) apply rate limits; or (d) suspend or terminate your account under Section 9.2. Except where immediate action is necessary, we will give you notice and a reasonable opportunity to bring your use into compliance.

4. Content and intellectual property

This section explains who owns what.

4.1 Your content

"Your Content" means your account information, the topic inputs you enter, and any edits or annotations you make to lessons. You own Your Content. We do not claim ownership of it.

You grant us only the limited license needed to operate the Platform: to store, process, and display Your Content back to you so you can use the service. We do not use Your Content for advertising, we do not use it to train AI models, and we do not publish your edited lessons or share them with other users.

Individual accounts are licensed to you personally under Section 3.1 and may not be used to plan on behalf of an organization.

If your school, district, or other organization purchases your account for you, you confirm you have authority to bind that organization to these Terms.

4.2 Generated lessons — your license to use them

When you generate a lesson, we grant you a perpetual, worldwide, royalty-free, non-exclusive license to use, print, copy, modify, distribute, and display that lesson for your own teaching and educational purposes, including with your students and colleagues within your school. This license survives cancellation of your account — lessons you have already generated and saved remain yours to use.

You may not resell Gogy-generated lessons as a standalone product or redistribute them in a way that competes with the Platform.

This license does not extend to lessons generated in violation of Section 3.1 or Section 3.2.

4.3 Our retained copies

As described in our Privacy Policy, we retain the original generated copy of each lesson, detached from your identity. We may use these de-identified copies to operate and improve the Platform. We will never re-identify them or use your edited versions for this purpose.

Separately from these de-identified copies, we retain account-linked records of your use of the Platform — including generation counts, timestamps, and model usage — for billing, security, abuse prevention, and enforcement of Section 3. These records do not include student information and are not used to train AI models.

4.4 Our intellectual property

The Platform itself — its software, design, the structure and methodology of our lessons, our 12 instructional principles, our trademarks, and all related content other than Your Content and generated lessons — is owned by Gogy and its licensors. Nothing in these Terms transfers our intellectual property to you except the licenses expressly granted above. You may not copy, sell, lease, or exploit any part of the Platform or its underlying code without our written permission.

4.5 Content moderation

We may remove or disable access to content that we reasonably believe violates these Terms. We are not obligated to monitor content.

4.6 Feedback

If you send us suggestions, feature requests, ideas, or other feedback about the Platform, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate that feedback into the Platform, without obligation or compensation to you. Feedback is not confidential, and you should not send us anything you consider proprietary. This section does not give us any rights in Your Content, which remains yours under Section 4.1.

5. Artificial intelligence and lesson accuracy

Gogy uses AI to help generate lesson materials. You should understand and accept the following:

• AI-generated content can contain errors, omissions, or inaccuracies. You are responsible for reviewing every lesson before using it with students. The teacher remains the professional in the room — Gogy prepares materials; it does not replace your judgment.
• Gogy does not grade, assess, evaluate, or make decisions about any student.
• Generated lessons are a starting point built on our instructional principles, not a guarantee of standards alignment, factual completeness, or fitness for any specific student, classroom, or regulatory requirement (including special-education or IEP requirements).

Our AI Transparency document describes our quality controls and the known limitations of the service in more detail.

6. Privacy

Your use of the Platform is governed by our Privacy Policy, incorporated here by reference. By using the Platform, you consent to the practices described there.

7. Fees, subscriptions, and billing

Certain features require a paid subscription ("Paid Services").

• Free trial. We may offer a free trial. We do not require a payment method to begin a trial. When the trial ends, you can subscribe to a paid plan, or your account will move to the free plan.
• Auto-renewal. Subscriptions paid by credit card automatically renew at the end of each term (for example, annually) at the then-current price, until you cancel. We will charge your payment method at the start of each renewal term. By subscribing, you authorize these recurring charges.
• Renewal reminder. Before each automatic renewal of a term of one year or longer, we will send a reminder to the email address on your account. The reminder will state the renewal date, the amount and frequency of the charge, and how to cancel.
• Cancellation. You can cancel at any time from your account settings or by emailing [email protected]. Cancellation stops future renewals; it takes effect at the end of your current paid term, and you keep access until then.
• Refunds. Fees are non-refundable except where required by law.
• Price changes. We may change pricing for future terms with reasonable advance notice. Changes do not affect the term you have already paid for. Where we have expressly offered you a locked or grandfathered rate — including the Founding subscriber rate — we will honor that rate for as long as your subscription remains continuously active. If your subscription lapses, the locked rate ends.
• Payments. Payments are processed by Stripe. We do not store your full payment card information.
• Per-educator licensing. Plans are licensed to one individual educator. For planning across multiple educators, grades, or subjects, contact us about your needs at [email protected].

8. Service availability and changes

We aim to keep the Platform available and reliable, but we do not guarantee uninterrupted or error-free service, and we may perform maintenance or updates that temporarily affect availability.

We will notify registered users in advance of material changes to the Platform that significantly affect how you use it, except where a change is required by a third-party provider on short notice or to address a security or safety issue, in which case we will notify you promptly after the change. This includes a change in the AI models we use where it would materially affect the quality or nature of generated lessons — we will explain the change and its expected impact.

9. Termination

9.1 By you

You may stop using the Platform at any time. You can delete your account in your profile settings. See the Privacy Policy for how deletion is handled. Cancellation does not entitle you to a refund of fees already paid.

9.2 By us

We may suspend or terminate your access if you materially violate these Terms or use the Platform unlawfully. Except where a violation requires immediate action, we will give you notice and, where practical, an opportunity to cure.

9.3 Effect of termination

Lessons you have already generated remain licensed to you under Section 4.2. Provisions that by their nature should survive termination will survive, including ownership, disclaimers, limitation of liability, and indemnification.

10. Disclaimers

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted, secure, or error-free, or that AI-generated content will be accurate, complete, or suitable for any particular purpose. You are responsible for reviewing generated content before use.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GOGY AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM.

OUR TOTAL LIABILITY FOR ALL CLAIMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED DOLLARS (USD $100). Some jurisdictions do not allow certain limitations; in those, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Gogy and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of: your use of the Platform; Your Content; your violation of these Terms; or your violation of any third-party rights, including by entering personal information into the Platform in violation of Section 3.2.

13. Data privacy agreements with schools and districts

If your school or district has entered into a separate data privacy agreement or data protection addendum ("DPA") with Gogy that covers your use of the Platform, that DPA governs and controls in the event of any conflict with these Terms with respect to the data practices it addresses.

14. Governing law and disputes

14.1 Governing law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-law rules.

14.2 Dispute resolution

Any dispute arising out of or relating to these Terms or the Platform will first be addressed through good-faith negotiation. If unresolved, it will be submitted to binding arbitration in Delaware under the rules of the American Arbitration Association — except that either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm, and either party may bring an individual claim in small-claims court.

14.3 Class action waiver

DISPUTE RESOLUTION WILL BE CONDUCTED ON AN INDIVIDUAL BASIS ONLY, NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION.

15. Changes to these Terms

We may modify these Terms. We will post the revised Terms with a new effective date and notify you of material changes. Your continued use after changes take effect constitutes acceptance. If you do not agree to the revised Terms, stop using the Platform.

16. Miscellaneous

• Entire agreement. These Terms, the Privacy Policy, and any appliable DPA are the entire agreement between you and us regarding the Platform and supersede prior agreements.
• Severability. If any provision is unenforceable, the rest remain in effect.
• Waiver. Failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign your rights without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, provided we give you notice, any successor assumes these Terms and our Privacy Policy commitments, and any applicable DPA continues to bind the successor. Where a school or district holds a DPA, it retains the right to terminate upon a change of control as set out in that DPA.
• Force majeure. We are not liable for failures caused by events beyond our reasonable control.
